Company not honoring buy out aggreement of eguipment lease

Balboa Capitol is not honoring the addedum that was on a equipment lease. They now want me to pay them the Fair Market Value of equipment. I can not and now they are taking me to court for equipment value and loss of be able to sell equipment.
